SEC RULE 506(c) REQUIREMENT: Under SEC regulations, we are required to take reasonable steps to verify that all investors are accredited investors before accepting any investment. This page explains the verification process and documentation required.

What is an Accredited Investor?

An accredited investor is an individual or entity that meets specific financial thresholds set by the Securities and Exchange Commission (SEC). Under SEC Rule 501 of Regulation D, an individual qualifies as an accredited investor if they meet at least one of the following criteria:

Verification Methods

We accept several methods to verify your accredited investor status. Please choose the method that works best for you:

Method 1: Income Verification

Required Documents (choose one):

  • IRS Form W-2 for the two most recent years
  • IRS Form 1099 for the two most recent years
  • Federal tax returns (Form 1040) for the two most recent years

Additional Requirement: Written representation that you reasonably expect to reach the same income level in the current year.

Method 2: Net Worth Verification

Required Documents:

  • Bank statements (dated within 90 days)
  • Brokerage statements (dated within 90 days)
  • Credit report from a consumer reporting agency (dated within 90 days)
  • Independent appraisal of real estate holdings (if applicable)
  • List of liabilities (if not shown in credit report)

Note: Value of primary residence must be excluded from net worth calculation. Mortgage on primary residence may reduce net worth only to the extent the liability exceeds the residence's value.

Method 3: Third-Party Verification

Accepted from the following professionals:

  • Registered broker-dealer
  • SEC-registered investment adviser
  • Licensed attorney
  • Certified Public Accountant (CPA)

Requirement: Written confirmation from the professional, dated within 90 days, that they have taken reasonable steps to verify your accredited investor status within the prior three months.

Method 4: Professional Certification

For holders of certain financial licenses:

  • Copy of active Series 7 license
  • Copy of active Series 65 license
  • Copy of active Series 82 license

Requirement: License must be in good standing and unexpired.

  2. Gather Documentation: Collect the required documents for your chosen verification method
  3. Submit Securely: Upload your documents through our secure investor portal (link below)
  4. Review Period: We will review your submission within 2-3 business days
  5. Confirmation: You will receive confirmation of your accredited investor status via email
  6. Access Investment Materials: Once verified, you will receive access to our Private Placement Memorandum and subscription documents
